I just listened to an interview with Shaw from 2021

He seemed to indicate that the idea for 1st tier came from hassles they had in Anaheim so the Rams wanted to make sure there were incentives in place for the city to pay for modern updates. The idea was to stay in St Louis but when Georgia died and Stan asserted his stake, the 1st tier language backfired on St Louis.
